INTERNATIONAL BUSINESS ACADEMY CONSORTIUM LTD

1. General Provisions



This Policy outlines the standard terms for using the MINIBOSS BUSINESS SCHOOL franchise, the rights and obligations of franchisees, procedures for handling the Complex of Exclusive Rights (CER), and regulations on the use of educational programs, brand assets, teaching methods, and support services.
The document is intended for:
  • Internal use by head office and local franchise staff;
  • Informational purposes for prospective franchisees.

2. Franchisee Entitlements under the Franchise Agreement



Upon signing the franchise agreement and paying the lump-sum fee, the Franchisee is granted the following rights and resources:

2.1. Right to Use the Complex of Exclusive Rights (CER):



  • Registered trademarks of MINIBOSS BUSINESS SCHOOL;
  • Proprietary educational methods, curricula, and templates;
  • Corporate brand book, marketing, and advertising materials;
  • Manuals for launching and managing a branch;
  • Right to participate in the international system of competitions and events.

2.2. Access to Systemic Support:



  • Personalized business model adaptation;
  • Training and certification of staff;
  • Administrative and PR support;
  • Participation in international forums, contests, and events;
  • Legal and consulting support from the Franchisor.

3. Terms of CER Use



The Franchisee may use the CER and franchise rights only under the following conditions:
  • Within the defined Contractual Territory as specified in the agreement;
  • Exclusively within the approved branch location;
  • In full compliance with the methodology delivered during certification;
  • With mandatory procurement of authorized learning kits;
  • Strictly for educational activities under the MINIBOSS BUSINESS SCHOOL brand.
Transfer, duplication, or modification of CER materials to third parties is strictly prohibited.


4. Financial Obligations



The Franchisee shall:
  • Pay the lump-sum franchise fee;
  • Make regular royalty payments as outlined in the agreement;
  • Cover training and certification costs for staff;
  • Purchase learning kits from the Franchisor;
  • Pay for IT support and participation in global events if applicable.

5. Growth Opportunities



5.1. Opening Additional Branches



The Franchisee may apply to open additional branches. Each new unit requires a separate agreement and approval from the Franchisor.

5.2. Acquiring a Master Franchise



The Master Franchise grants the right to:
  • Develop the franchise network within a designated territory;
  • Recruit new franchisees and receive revenue share from them;
  • Manage marketing and ensure service quality across the territory.
A Master Franchise is formalized by a separate agreement and is not included in the rights of a standard local franchisee.

6. Prohibited Actions



The Franchisee and their personnel are not permitted to:
  • Independently conclude franchise agreements with third parties;
  • Sell, transfer, or assign the CER;
  • Open new branches without prior approval;
  • Modify the educational methodology;
  • Use the brand outside of its approved context or territory.

7. Compliance and Accountability



The Franchisee undertakes to:
  • Strictly follow brand and quality standards;
  • Undergo regular inspections and training sessions;
  • Submit required reports to the Franchisor;
  • Ensure the protection of intellectual property.
The Franchisor reserves the right to:
  • Conduct audits and inspections;
  • Suspend franchise usage in case of violations;
  • Terminate franchise rights upon repeated non-compliance.

8. Final Provisions



This Policy is a standard supplement to the MINIBOSS BUSINESS SCHOOL franchise system. In case of discrepancies, the provisions of the signed Franchise Agreement shall prevail.

Any updates to this Policy may be introduced unilaterally by the Franchisor, with mandatory notification to all active partners.
